End User Licence Agreement

Terms governing licensed installation and use of Opia.

Applies to Opia 26.8.1

This End User Licence Agreement applies to the installation and use of Opia, a Windows desktop software application provided by Nu-topia Solutions Ltd.

By installing, accessing, or using Opia, you agree to the terms of this Agreement. If you do not agree to these terms, you must not install or use the Software.

1. Definitions

In this Agreement:

“Agreement” means this End User Licence Agreement.

“Company”, “we”, “us”, or “our” means Nu-topia Solutions Ltd.

“Customer”, “you”, or “your” means the individual or organisation installing, accessing, or using Opia.

“Opia” or “Software” means the Opia desktop application, associated services, local database, documentation, updates, licence files, support tooling, and related components provided by Nu-topia Solutions Ltd.

“Device” means a network device, system, endpoint, or infrastructure component accessed, queried, monitored, inventoried, backed up, or represented within Opia.

“Configuration Data” means device configuration files, command output, inventory information, topology information, logs, operational metadata, reports, and other data collected or generated by the Software.

“Support Bundle” means a diagnostic package, log export, support archive, error report, troubleshooting package, or similar collection of technical information generated by or exported from the Software.

2. Licence Grant

Subject to your compliance with this Agreement and payment of any applicable fees, Nu-topia Solutions Ltd. grants you a limited, non-exclusive, non-transferable, revocable licence to install and use Opia for your internal business purposes.

The licence is granted only for the number of users, consoles, devices, environments, or other limits stated in your applicable order, licence file, quotation, invoice, or written agreement with Nu-topia Solutions Ltd.

Opia is licensed, not sold. Nu-topia Solutions Ltd. retains all rights, title, and interest in and to the Software, including all intellectual property rights.

3. Permitted Use

You may use Opia to support internal network configuration management, configuration backup, device inventory, topology discovery, reporting, operational review, and related administrative activities.

You may use the Software in offline, air-gapped, restricted, or operational technology environments where such use is permitted by your organisation and applicable law.

You may make reasonable backup copies of the Software solely for disaster recovery, business continuity, or internal operational resilience purposes.

4. Restrictions

You must not:

  1. copy, modify, adapt, translate, or create derivative works of the Software except as expressly permitted by this Agreement;
  2. reverse engineer, decompile, disassemble, or attempt to derive the source code, underlying structure, algorithms, or internal design of the Software, except where such restriction is prohibited by applicable law;
  3. remove, alter, or obscure any copyright notice, licence notice, branding, watermark, or proprietary marking;
  4. rent, lease, lend, sell, sublicense, distribute, host, or provide the Software to any third party without prior written permission from Nu-topia Solutions Ltd.;
  5. use the Software to provide a managed service, bureau service, outsourced service, or commercial service to third parties unless expressly authorised in writing;
  6. bypass, disable, tamper with, or attempt to circumvent any licensing, activation, Managed Network Unit limit, expiry, or usage control mechanism;
  7. use the Software in a way that is unlawful, harmful, malicious, or intended to gain unauthorised access to systems or data.

5. Customer Responsibilities

You are responsible for the deployment, configuration, operation, security, and use of Opia within your environment.

You are responsible for ensuring that:

  1. you have appropriate authority to access any Devices managed, queried, scanned, backed up, or represented by the Software;
  2. all credentials, keys, passwords, secrets, and access methods used with the Software are authorised, protected, rotated, and managed securely;
  3. any use of Opia complies with your internal policies, cyber security requirements, operational procedures, regulatory obligations, and applicable laws;
  4. appropriate backups, change controls, approvals, and operational safeguards are in place before relying on any information, report, alert, comparison, or output generated by the Software;
  5. the Software is used only by suitably trained and authorised personnel;
  6. any logs, Support Bundles, diagnostic packages, exports, reports, or other information are reviewed and approved before being submitted to Nu-topia Solutions Ltd. or any third party.

6. Credentials and Device Access

Opia may store or use credentials, connection details, device metadata, command output, and related information required to perform its intended functions.

You remain solely responsible for the accuracy, security, authorisation, and lifecycle management of credentials and access permissions used with the Software.

Nu-topia Solutions Ltd. is not responsible for unauthorised access, failed connections, device lockouts, configuration exposure, credential misuse, or operational issues caused by incorrect configuration, excessive permissions, insecure credential handling, or unauthorised use by the Customer.

7. Configuration Data and Local Storage

Opia is designed to operate as an on-premises desktop application. Configuration Data may be stored locally on systems controlled by the Customer.

You are responsible for protecting Configuration Data, including implementing appropriate file permissions, endpoint protection, encryption, backup, retention, monitoring, and access controls.

You acknowledge that Configuration Data may contain sensitive operational, security, infrastructure, or business information. You are responsible for ensuring that such data is handled in accordance with your policies and applicable legal or regulatory requirements.

Unless separately agreed in writing, Nu-topia Solutions Ltd. does not host, manage, transmit, or process Customer Configuration Data on your behalf.

8. Support Bundles and Diagnostic Information

Opia may include functionality to generate Support Bundles, diagnostic packages, log exports, error reports, or similar technical information to assist with troubleshooting, maintenance, support, security review, or product improvement.

Support Bundles may include information such as application logs, error details, system metadata, licence status, version information, configuration settings, device inventory, topology metadata, backup job history, connection results, application state, database metadata, and other diagnostic data generated by the Software.

Support Bundles may also contain sensitive operational, security, infrastructure, personal, or business information depending on how the Software is configured and used in your environment.

Support Bundles are not automatically submitted to Nu-topia Solutions Ltd. unless expressly stated, explicitly configured, implemented within the Software, or separately agreed in writing.

Unless a separate support arrangement provides otherwise, you are responsible for reviewing, approving, minimising, redacting, and submitting any Support Bundle or diagnostic information.

You must not submit Support Bundles or diagnostic information to Nu-topia Solutions Ltd. unless you have the necessary authority to do so and are satisfied that the information may be shared.

Where Support Bundles are submitted to Nu-topia Solutions Ltd., they may be used for support, troubleshooting, maintenance, investigation, security review, product improvement, licence verification, and related business purposes.

Nu-topia Solutions Ltd. will handle submitted support information using reasonable administrative, technical, and organisational safeguards. However, you remain responsible for ensuring that submitted information does not contain credentials, secrets, personal data, regulated data, or confidential information that you are not authorised to disclose.

Where practical, Opia may provide options to exclude, minimise, or redact sensitive information from Support Bundles. Such controls are provided as an aid only and do not remove your responsibility to review the content before submission.

9. Operational Technology and Critical Environments

Opia may be used in operational technology, industrial control, utility, manufacturing, infrastructure, or other sensitive environments.

The Software is intended to support visibility, backup, documentation, and operational review. It is not a replacement for engineering judgement, cyber security governance, safety processes, change control, operational procedures, or vendor-approved management tools.

You must assess and test the Software in a suitable non-production or controlled environment before using it in production or critical systems.

Nu-topia Solutions Ltd. is not responsible for outages, process disruption, loss of production, safety incidents, device instability, network impact, or operational consequences arising from use of the Software in your environment.

10. Reports, Alerts, and Recommendations

Opia may generate reports, alerts, topology views, comparisons, summaries, risk indicators, issue records, or other operational information.

Such outputs are provided for assistance and visibility only. They may be incomplete, inaccurate, delayed, or dependent on available data, device responses, parsing behaviour, environment configuration, or user input.

You are responsible for validating all outputs before making operational, security, engineering, compliance, or business decisions.

11. Updates and Changes

Nu-topia Solutions Ltd. may provide updates, patches, fixes, enhancements, or new versions of the Software from time to time.

Updates may modify features, behaviour, user interface elements, supported devices, licensing controls, technical requirements, data structures, support bundle contents, or diagnostic behaviour.

Unless otherwise agreed, you are responsible for deciding whether and when to install updates in your environment. You should test updates before deployment to production or critical environments.

12. Third-Party Components

The Software may include or depend on third-party libraries, frameworks, tools, or components. Such components may be subject to separate licence terms. Where those terms apply, they govern the applicable third-party component and this EULA does not replace or override them.

Where required, applicable third-party notices or open-source licence information will be provided within the Software, accompanying documentation, or a separate notices file.

13. Support and Maintenance

Support, maintenance, updates, response times, and service commitments are provided only where expressly included in a separate written agreement, order, support plan, or maintenance arrangement.

Unless otherwise agreed in writing, Nu-topia Solutions Ltd. does not guarantee continuous availability of support, compatibility with all environments, or resolution of all issues.

You acknowledge that support may require you to provide sufficient information, logs, diagnostic details, screenshots, version details, licence information, or Support Bundles to allow Nu-topia Solutions Ltd. to investigate reported issues.

14. Confidentiality

The Software, documentation, licence files, pricing, technical design, and non-public information provided by Nu-topia Solutions Ltd. may be confidential.

You must not disclose confidential information to third parties except where required by law or authorised in writing by Nu-topia Solutions Ltd.

This section does not restrict information that is already public, independently developed without reference to confidential information, or lawfully obtained from another source.

15. Intellectual Property

All intellectual property rights in the Software, documentation, branding, logos, user interface, design, source code, object code, workflows, and related materials belong to Nu-topia Solutions Ltd. or its licensors.

No rights are granted except those expressly stated in this Agreement.

You must not use Nu-topia Solutions Ltd. names, logos, branding, or product marks without prior written permission, except as required to identify the Software internally.

16. Warranty Disclaimer

To the maximum extent permitted by law, the Software is provided “as is” and “as available”.

Nu-topia Solutions Ltd. does not warrant that the Software will be uninterrupted, error-free, secure, free from vulnerabilities, compatible with all systems, or suitable for any particular purpose.

Nu-topia Solutions Ltd. does not warrant that the Software will detect all issues, prevent incidents, identify all changes, preserve all data, or produce complete or accurate results in every environment.

17. Limitation of Liability

To the maximum extent permitted by law, Nu-topia Solutions Ltd. shall not be liable for any indirect, consequential, special, incidental, punitive, or exemplary loss or damage.

This includes, without limitation, loss of profit, loss of revenue, loss of production, loss of contracts, business interruption, loss of data, loss of goodwill, system outage, device failure, operational disruption, or cyber security incident.

Nothing in this Agreement excludes or limits liability where it would be unlawful to do so.

Where liability cannot be excluded, Nu-topia Solutions Ltd.’s total aggregate liability shall be limited to the amount paid by the Customer for the Software during the twelve months preceding the event giving rise to the claim, unless a different limit is expressly agreed in writing.

18. Termination

Nu-topia Solutions Ltd. may terminate this Agreement if you materially breach its terms and fail to remedy the breach within a reasonable period after notice.

Upon termination, you must stop using the Software and, where required, delete or return copies of the Software and associated licence files.

Termination does not affect rights or obligations that are intended to continue, including confidentiality, intellectual property, warranty disclaimers, and limitation of liability.

19. Audit and Licence Compliance

Nu-topia Solutions Ltd. may require reasonable evidence of licence compliance, including confirmation of installed copies, Managed Network Unit consumption, licence files, or usage limits.

You must not knowingly exceed the licensed scope, Managed Network Unit limit, user limit, expiry date, or other applicable entitlement.

You are responsible for ensuring that your use of the Software complies with applicable laws, including export control, sanctions, cyber security, data protection, and sector-specific regulatory requirements.

You must not use, export, or transfer the Software in breach of applicable law.

21. Governing Law

This Agreement is governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with this Agreement, unless otherwise agreed in writing.
